Reading, understanding, and if required as outlined in the Privacy Policy – a part of these Terms and Conditions, attaining parental or guardian consent and understanding is an important requirement of using, interacting, and engaging with www.RootU.ca and www.ExamRoot.ca. Purpose of RootU RootU and ExamRoot, at URL www.RootU.ca and URL www.ExamRoot.ca , the “Website” or the “Websites”, domains owned by Retrofit Learning Inc., are sites serving as hubs for an online, education and resource community that offers multiple opportunities, resources and works (“Material” or “Content”) for visitors or those browsing the site not Users / Members or logged in (“Visitors”) and registered account users (“User(s)” or “Member(s)”) to access, engage, participate, and inquire into, for any legally intended user purpose, recognizing that RootU was designed, created, and is managed with the intent of improving and expanding the efficacy and availability of learning processes, learning resources and to assist with personal capacity development. These opportunities and “Content” include, but are not limited to: browsing questions and posts in online forums; replying to questions and posts in online forums; posting in online forums; responding to posts in online forums; rating posts in online forums; commenting on blogs or article entries on RootU.ca; commenting / providing feedback regarding online practice exams through ExamRoot.ca.; browsing tutor listings or searching for a tutor; posting / advertising tutor services; submitting written response exemplar work for potential compensation and use on RootU.ca as an exemplar; taking and purchasing practice exams and access reports regarding performance on practice exams; browsing and commenting on article and media work created, purchased, licensed or linked to through the RootU site. Terms of Use Terms apply to any Visitor or User on RootU.ca or ExamRoot.ca who view Content and / or engage with any software or applications found on RootU.ca or ExamRoot.ca, including contractors providing services or performing tasks through an agreement with RootU and / or ExamRoot. Terms may be modified, amended, contracted, expanded upon from time to time, with or without notice to the User or Visitor. It is the responsibility of the User or Visitor to check back for the last update demarcated by a specific date, found via the Terms and Conditions link available at the bottom of every webpage on RootU.ca and ExamRoot. Users are considered users as soon as they are able to successfully login with their username and password after initial, or new account sign-up. All Visitors to RootU or ExamRoot without an account or not signed in, will be considered Visitors, whether or not the Visitor has an account with RootU and ExamRoot. If a Visitor is not signed in but has an account with RootU or ExamRoot, they are still considered a User and subject to all Terms and Conditions, whether logged in or not. Users will remain users and account holders on RootU and ExamRoot as long as RootU.ca and / or ExamRoot.ca are intentionally operational, not bankrupt or insolvent. User accounts may be terminated or suspended at the sole discretion of RootU and / or ExamRoot at any time, with or without forewarning. If RootU or ExamRoot are sold in whole or in part, or if share structures of Retrofit Learning Inc. (the parent company of RootU and ExamRoot) change in composition for any reason, the User agrees to keep their accounts active and consent to the transfer of information to the new owner or owners, shareholder or sharholders and their website administrators, becoming subject to any revisions or replacements to Terms of Conditions and the Privacy Policy. It is the responsibility of the User to check regularly for any changes to Terms and Conditions or the Privacy Policy. Users may terminate accounts by emailing info@retrofitlearning.com from their registered RootU or ExamRoot account email address their request to have their account terminated. Accounts will be typically terminated within 3 business days. Eligibility In order to view Content or register as a User, the Privacy Policy must be agreed and consented to. Any user under 13 years of age, whether visitors, individuals in the process of account registration process, and registered Users falsely declaring to be 13 years of age or older, are not permitted to use this site. Users that are 13 years of age or older, but not yet 16 years of age, must read these Terms and Conditions, as well as the privacy policy, and have their parent and guardian explain anything that they find unclear or confusing, as well as have parent or guardian read, understand and agree to these Terms and Conditions, as well as the privacy policy. Any User that has been convicted of a criminal offence, where a child or minor was a victim of a crime, is not permitted to use the www.RootU.ca or www.ExamRoot.ca websites, whether visitors, individuals in the process of account registration process, or registered Users who have falsely declared their understanding and agreement of these Terms and Conditions. In registering for an account on RootU and ExamRoot, users affirm they have as accurately and truthfully provided all required information, will report or change any inaccurate information by their own volition or by request of RootU or ExamRoot, and will personally maintain the accuracy of information throughout the duration as a site user. Privacy Use of this website also requires and is administered in strict compliance with the Privacy Policy, which details RootU’s policy on the acquisition, attainment, display, distribution and archiving of information, content, creative works and other media. It is the responsibility of the user to refer to this Privacy Policy, understand it in its entirety, and understand it in reference to where mentioned or applicable in these Terms and Conditions. Sharing Content in Comments or Forum Posts  By uploading or posting any comments or forum posts, you agree to granting Retrofit Learning Inc. (o/a as RootU, ExamRoot) a non-expiring, binding, royalty free, global / worldwide license to reformat, use in its entirety, modify, integrate, copy, post, display, reproduce, translate, for use in any print or electronic publication, presentation, or marketing campaign, whether as part of a commercial product or otherwise. An exception to this condition is that no explicit, evident, identifying, personal information and usernames will be used by Retrofit Learning Inc., in accordance with the privacy policy.  You agree in accordance with the Copyright Policy of these Terms and Conditions, that all forum posts, comments and uploads, are solely the User’s  original content creation, and not knowingly inclusive of third party, copyright protected or trademarked material.  RootU reserves the right to investigate, remove and delete content that is reported or deemed to infringe the copyright and / or trademark laws of any jurisdictional, national or international body of law.  RootU reserves the right to report to legal authorities of any jurisdiction, any Content or activity, whether by an incidental or intentional visitor or user, any content or activity reported to or deemed potentially or likely in violation of any provincial, federal or international law.  Retrofit Learning Inc. assumes no liability for any misrepresentation, incidental and non-explicit disclosure of identifying personal information. Retrofit Learning Inc. assumes no responsibility for lost or stolen account information. Retrofit Learning Inc. will only archive information as necessary for account and site operation and maintenance, and in accordance with the evaluation process of uploaded materials considered for use and compensation in relevant sections (see Sharing and Uploading Content as Notes and Written Response Exemplars). Retrofit Learning Inc. assumes no liability for offensive, abusive, harassing, inappropriate or criminal posts. Retrofit Learning Inc., in accordance with the Privacy Policy, will make all reasonable attempts to investigate and if required, enact remedy regarding reports of abusive, criminal, or offensive posts. Sharing and Uploading Content as Notes and Written Response Exemplars Retrofit Learning Inc. will keep uploaded notes and written response exemplars in a database for a period of 90 days. If Retrofit Learning Inc., after reviewing your uploaded notes or written response exemplar submission, intends to use uploaded notes, you will be sent an offer for your work submitted, with an explicitly stated compensation (e.g. cash, goods, sponsored items). Once sent an offer, you will have 48 hours to accept or decline the offer, or Retrofit Learning Inc. reserves the right to retract this offer after 48 hours has elapsed from the email time mark of when the offer was sent to the original submitter / uploder. If accepting of the offer, you explicitly agree to these Terms and Conditions as a stipulation of receiving the offered compensation, and you agree to grant Retrofit Learning Inc. (o/a as RootU, ExamRoot) a non-expiring, binding, royalty free, global / worldwide license to reformat, use in its entirety, modify, integrate, copy, post, display, reproduce, translate, for use in any print or electronic publication, presentation, or marketing campaign, whether as part of a commercial product or otherwise. If Retrofit makes an offer within 14 days of the 90 day period of keeping uploaded documents, expiry, Retrofit will archive and hold information for the additional days of the 14 day offer that exceed the original, 90 day expiration period. If an offer is not accepted at the end of the 14 day period, the document will be erased from Retrofit’s databases. If RootU chooses to not make the user who has uploaded or shared Content an offer for compensation, or decides to retract an offer for compensation, or the user fails to respond or declines an offer for compensation, RootU will delete from all databases and archives the submitted, uploaded, or shared document. If a User wishes to retract their submission, upload or shared Content before being offered compensation, they must email info@retrofitlearning.com, clearly stating their request to have a specific document or creative work retracted and deleted from RootU’s archives and databases. Once the User has accepted the Terms and Conditions and Privacy Policy, as well as has agreed via email to the compensation terms, and has been sent an electronic payment or a dated, hardcopy, mailed cheque, a User wishing to retract submitted work will not be accepted by RootU. Prohibited Posts, Comments, Content and Activities, and the Administration of User Accounts Retrofit Learning Inc. (o/a as RootU, ExamRoot) reserves the right to investigate reports and through the process of security and quality maintenance of RootU and ExamRoot, report misuse, abuse, offensive, harassing or inappropriate posts, comments, actions, Content uploads, or any other upload, and remove and / or delete any Content or User Account without prior warning or notification to the User. In the case that a User Account is deleted, the user will be notified via the provided User Account email. If the User wishes to appeal or request more information, they may contact or email info@retrofitlearning.com , although Retrofit Learning Inc. reserves the right to not respond to any correspondence that Retrofit is not legally required to respond to. Retrofit Learning Inc. reserves the right to limit, restrict, suspend or terminate User account functionality or existence in relation to the RootU and ExamRoot websites. User accounts can be limited, restricted, suspended or terminated for all of the following, but not limited to: violating or infringing upon local, provincial, federal or international laws; sharing User Account information with another individual or party not registered for the said User Account; uploading or posting content with viruses, malicious software, computer codes, Content, programs, pictures, media, or any other electronically transferable data or application that impedes functionality, operations or the security of RootU.ca or ExamRoot.ca; manipulate, interfere, destroy or disrupt any server or network hosting and required for the operation and maintenance of RootU.ca and ExamRoot.ca; hack, modify, or alter any portion of the RootU.ca website, other than to post in forums or comment sections in accordance with the Terms and Conditions and Privacy Policy; post, comment, upload, transmit, distribute, share, alter, misrepresent any information on the RootU or ExamRoot websites that depicts or displays, in part or in whole, all of the following but not limited to, as deemed solely by the judgment of RootU and / or authoritative law enforcement agencies: obscene, threatening, vulgar, abusive, offensive, harassing, extorting, bribery, pornographic, defamatory, tortuous, racially offensive or questionable, ethnically offensive or questionable, culturally offensive or questionable, hateful, or anything detracting or not fitting with the purpose of the RootU.ca or ExamRoot.ca site; creating, forging or creating imposter sights, whether for malicious reasons or otherwise; post information that is knowingly false that could offend, abuse, harass,  defame or harm any user in any way, with particular consideration to the well being of minors; attempt or in actuality sell any part, including software and content, of RootU.ca and ExamRoot.ca; post, upload, comment or engage with RootU or ExamRoot websites in any way that infringes on any third party trademark, patent, trade secret, intellectual property or copyright; advertise, post or comment in any way that promotes or brings attention to a business or other entity not authorized explicitly by RootU or ExamRoot; use RootU or ExamRoot in any way that assists in distributing, promoting, displaying or processing any junk mail, spam, multi-level marketing, advertising campaign, chain letters, pyramid schemes; deliberately bypass any procedural, operational or security measures put in place by RootU, ExamRoot, Yardstick Software Inc., DestroytheBox Creative, or any server, internet protocol  or network host provider. Copyright and Proprietary Rights Retrofit Learning Inc. (o/a RootU, ExamRoot) claims ownership and unrestricted copyright over all content on RootU.ca and ExamRoot.ca, except for: User personal information, contractually agreed, proprietary software, trademarks, design and content of Yardstick Software Inc., DestroytheBox Creative, any other authorized and contracted sponsor or advertiser, and any other trademarked, copyright or proprietary information known or unknowingly existing on RootU.ca or ExamRoot.ca that has not been reported or removed. Reporting or Claiming Copyright Violation If reporting a copyright violation, please ensure to: email info@retrofitlearning.com and include in English: a description or exact copy of the copyrighted material; the exact work and / or artist which you believe the work has been taken from, which may or may not have Copyright; the legal jurisdiction or country the Copyright in question applies in; a screenshot of the copyrighted work on the RootU or ExamRoot website; a typed or copy and pasted URL of the page where the Copyright in question was viewed / found; an explanation of how the copyright in question infringes upon a copyright of an artist or other entity; your contact information, including phone number, so that we can contact you to accurately investigate the copyright in question If claiming a copyright infringement in question on behalf of oneself or an authorized agent or representative of the copyright in question’s owner, please ensure to: email info@retrofitlearning.com and include in English: your position / role that authorizes you as an agent or representative of the copyright in question a description or exact copy of the copyrighted material; the exact work and / or artist which you believe the work has been taken from, which may or may not have Copyright; the legal jurisdiction or country the Copyright in question applies in; a screenshot of the copyrighted work on the RootU or ExamRoot website; a typed or copy and pasted URL of the page where the Copyright in question was viewed / found; an explanation of how the copyright in question infringes upon a copyright of an artist or other entity; your contact information, including phone number, so that we can contact you to accurately investigate the copyright in question; Communication and Correspondence RootU and ExamRoot reserve the right, in accordance with the Privacy Policy, to use parts of correspondences for any purpose, including marketing and the development of new products and services, with the exception of personal information or identifying features of messages related to personal information.  Disclaimer and Condition on Reliability of Site Content and Software RootU, ExamRoot, Yardstick Software Inc. or DestroytheBox Creative, take no responsibility for site interruption, downtime, maintenance periods, or partially loaded data. We welcome feedback and notifications that RootU or ExamRoot functionality may be inhibited, down, or disrupted. Please email info@retrofitlearning.com if you want to report site delivery issues. RootU and ExamRoot take no responsibility for the reliability, validity, accuracy or any site Content. Disputes or Complaints Any dispute or complaints will be attempted to be resolved, in accordance with the laws governing Alberta and Canada, without the need for legal action by any party. If legal action is required by any party, the dispute or complaint shall be brought exclusively before a court of competent and appropriate jurisdiction located in Canada. Indemnity Whether as a visitor or a user, incidentally or through intention, you agree, whether having read, or not, and understood part or all of the Terms and Conditions and Privacy Policy, or not, you agree to indemnify and hold any employee, contractor or officer of Retrofit Learning Inc. (o/a RootU and ExamRoot), Yardstick Software Inc. or DestroytheBox Creative harmless for any perceived or actualized: loss, damage, stolen property, stolen identity, demand, claim and expense, including but not limited to, costs of damaged or stolen property, lost or foregone wages, attorney or any other legal fees. Complete and Entire Agreement between the Visitor and / or User and RootU and ExamRoot The above Terms and Conditions in conjunction with the Privacy Policy, available on every page of RootU and ExamRoot, constitute the complete and entire agreement between any visitor or user, whether incidental or by intention. These terms shall only be altered, changed or modified by Retrofit Learning Inc. with the advise of any legal counsel contracted, and indicated by a reposting in the Terms and Conditions section / link available on any page on the RootU.ca or ExamRoot.ca websites. Waiver Failure to monitor, attend to, or enforce any part of the Terms and Conditions or Privacy Policy shall not constitute any other part of this agreement invalid, void, or unenforceable. Root U and ExamRoot will make every reasonable and legally mandated effort to:
  • protect your information from any party that is unauthorized to access or view your personal information, in accordance with federal and provincial law, and RootU and ExamRoot’s Terms and Conditions and Privacy Policy.
  • prevent third party providers to access your contact or personal information, other than with what is necessary for the operation and functionality of the RootU and ExamRoot features and site as consented to by accepting this Privacy Policy;
  • verify the accuracy of “User” or “Member” account information, including age, and investigate any claims of inaccuracies by a another user or third party, while still maintaining the protection of user personal information in accordance with Canadian federal and provincial law;
  • investigate abuse, harassment, and offensive user actions while still maintaining the protection of user personal information in accordance with Canadian federal and provincial law;
  • protect personal information through secure, reputable, third party payment / online purchase providers;
  • make changes and improvements to our Terms and Conditions and Privacy Policy, that improve the user experience and security. The protection of personal information and notifying you of how we use your personal information is important and a responsibility taken seriously by:  Retrofit Learning Inc. (operating as RootU and ExamRoot), as well as our software provider and test hosting affiliate and partner, Yardstick Software Inc., and web developer / site designer and maintenance provider, DestroytheBox Creative. All parties will strive to ensure that your personal information is protected. RootU, ExamRoot, Yardstick Software Inc. and DestroytheBox Creative are not responsible for any damages, loss, identity theft, personal libel or bodily harm experienced that can incidentally or causally claimed by using any experienced by the User or Visitor to www.RootU.ca  and www.ExamRoot.ca, including subpages within the site and any of RootU or ExamRoot’s social media accounts. RootU commits to communicate your options for using RootU and ExamRoot to a level of your choosing during the sign-up process and through account setting options. Should you provide RootU or ExamRoot with contact information, we will only provide your information to Yardstick Software Inc. as a third party, to ensure practice exam user sign-up is integrated as one sign-up process, maintain the ExamRoot.ca site, and to enable users rapid sign-up capabilities. DestroytheBox Creative, as the website developer and occasional maintenance provider of RootU.ca will only have access to user personal information as it necessarily pertains to site security, maintenance, upgrades and ongoing development. By using RootU (www.RootU.ca ) and / or www.ExamRoot.ca) you consent to the use and collection of personal information by RootU, ExamRoot and Yardstick Software Inc., and access to personal information by DestroytheBox Creative for purposes as described in this Privacy Policy. User and Member Sign-ups and Accounts When signing-up as a “User”, considered to be exactly the same as a “Member”, you will be asked to choose your account and, if a minor, verify your age group (not a specific birthdate). Student Users signing up that are not yet 18 years of age will choose a User account that is for Users:  13 years of age or older, but not yet 16 years of age In this case, the user will have to affirm that their parent or guardian have read and understood RootU and ExamRoot’s Terms and Conditions and Privacy Policy, including the purpose of sharing contact and personal information with Yardstick Software Inc., and allowing access to contact and personal information by DestroytheBox Creative. 16 years of age or older, but not yet 18 years of age. In this case, the User can consent to the use and sharing their personal information as stated in this Privacy Policy. 18 years of age or older. In this case, the User can consent to the use and sharing their personal information as stated in this Privacy Policy. Parent / teacher or professional administrator users signing up will choose a User account that is for parent users that affirms they are 18 years of age and consents to the use of their personal information as outlined in this Privacy Policy.   Tutor Users signing up will affirm that they are:  16 years of age or older, but not yet 18 years of age. In this case, the User can consent to the use and sharing their personal information as stated in this Privacy Policy. 18 years of age or older. In this case, the User can consent to the use and sharing their personal information as stated in this Privacy Policy. Privacy Features and Settings Usernames As a User, whether a student, parent, teacher, educational administrator or tutor, you will be required to provide your actual first and last name as part of the sign-up and collection of personal information process. Usernames, as long as not already taken by another user, can be a unique and non-identifying creation. Usernames that are not reported as abusive or offensive to the RootU site administrator, or deemed abusive or offensive by the RootU site administrator, may be selected and kept by the user as part of the sign-up or personal settings modification process. Only Usernames will be made available by RootU and ExamRoot to other RootU and ExamRoot Users. The User chooses whether or not to include in part or the whole of their username, identifying characteristics that may be considered as identifying any part of their personal information. No individual Users’s personal information will ever knowingly and willingly be provided by RootU, ExamRoot, Yardstick Software or DestroytheBox Creative, to a third party or other RootU and / or ExamRoot user, without their consent for the purposes only of necessary site functionality – i.e. tutor users advertising tutoring help. Any User requesting more information from a tutor, or contacting a tutor to enter into an arrangement with registered tutor through the RootU site, provides personal information to the tutor with no responsibility for any damages, loss, identity theft, personal libel or bodily harm experienced that can incidentally or causally claimed by using any RootU, ExamRoot, Yardstick Software Inc. or DestroytheBox Creative services, website, software or products. It is strongly advised that any User requesting more information from a tutor, or contacting a tutor to enter into an arrangement with a registered tutor through the RootU site, should have the informed consent of their parents or guardian if under 18 years of age. Avatar / User or Member Profile Pictures Users have the option whether or not to upload an avatar / User or Member profile picture. Profile pictures that are not reported as abusive, infringing on a copyright or trademark of a third party without their consent, deemed offensive to the RootU site administrator, or deemed abusive or offensive by the RootU site administrator, may be selected by the User as a User Account ‘Avatar / User or Member Profile Picture’, as part of the sign-up or personal settings modification process. Only the ‘Avatar / User or Member Profile Picture’ will be made available by RootU and ExamRoot to other registered RootU and ExamRoot Users. The User chooses whether or not to include in part or the whole of their Username, identifying characteristics that may be considered as identifying any part of their personal information.  Comments made throughout pages on RootU and ExamRoot, including via forum posts - can be made by any user. Any personal information disclosed through user comments or forum posts are done willingly by the user, with understanding that RootU and ExamRoot take no responsibility for any damages, loss, personal libel endured, or bodily harm experienced that can incidentally or causally claimed by using any RootU, ExamRoot.
